1. General Refund Conditions

• Pre-Development Phase: If a project is cancelled before development work has commenced, a full refund of any advance payments will be issued within 14 business days.
• In-Progress Projects: For projects already underway, refunds will be calculated proportionally based on the completed milestones and work performed up to the point of cancellation. No refund will be issued for work already completed and delivered.
• Post-Delivery: Once a deliverable has been accepted and approved by the client, no refund will be issued for that deliverable.

2. Non-Refundable Items

• Third-party licensing fees, domain registration costs, and hosting payments already disbursed.
• Consulting and diagnostic services that have been delivered in full.
• Custom development work that has been approved and delivered to the client.

3. Refund Request Process

These Terms of Service govern the provision of services by logicbuildco, located at Carrer de Sants 85, Barcelona, Sants-Montjuïc, España (hereinafter "the Company," "we," "us," or "our") to the client (hereinafter "you" or "the Client"). By engaging our services, you agree to be bound by these terms.

1. Scope of Services

The Company provides software development, web development, system integration, and related technical services as described in individual project proposals and statements of work. Each project's scope, deliverables, timeline, and pricing will be defined in a separate written agreement between the parties.

2. Client Obligations

The Client agrees to:

• Provide timely access to necessary systems, data, and personnel required for project execution.
• Review and provide feedback on deliverables within the timeframes specified in the project agreement.
• Ensure that all information provided to the Company is accurate and complete.
• Comply with all applicable laws and regulations in connection with the use of the delivered services.

3. Intellectual Property

Upon full payment of all applicable fees, the Client shall receive ownership of all custom-developed code, designs, and documentation specifically created for the Client under the project agreement. The Company retains ownership of pre-existing tools, frameworks, libraries, and methodologies used in the development process, and grants the Client a perpetual, non-exclusive license to use such components as part of the delivered deliverables.

4. Payment Terms

Payment terms are defined in each project's statement of work. Unless otherwise specified:

• A deposit of 30-50% of the total project fee is required before work commences.
• Remaining payments are due upon achievement of agreed milestones.
• All invoices are payable within 14 days of issuance.
• Late payments may incur a statutory interest charge in accordance with EU Directive 2011/7/EU.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the engagement. This obligation survives the termination of the service agreement for a period of 3 years.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total aggregate liability arising out of or in connection with the services shall not exceed the total fees paid by the Client under the applicable project agreement. The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

7. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of Spain and the European Union. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, España.

8. Amendments

The Company reserves the right to amend these Terms of Service at any time. Material changes will be communicated to the Client via email or through a prominent notice on our website at least 30 days before they take effect.
